Terms of Service
1. Agreement to terms
These Terms of Service ("Terms") govern access to and use of SpliceMap (the "Service"), provided by SpliceMap ("we," "us," "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you're using the Service on behalf of a company or other organization, you're agreeing on that organization's behalf, and "you" refers to that organization.
2. The service
SpliceMap is a GPON network management platform that helps fiber network operators map and track optical distribution frames (ODFs), splice closures, splitters, cabinets, and the connections between them. We may add, change, or remove features over time.
3. Accounts
You need an account to use the Service. You're responsible for the accuracy of the information you provide and for keeping your login credentials secure. You're responsible for all activity that happens under your account, whether performed by you or by team members you invite. Notify us promptly if you suspect unauthorized access to your account.
4. Subscription plans and billing
The Service is offered under subscription plans (currently Starter, Professional, and Enterprise), each with different features and pricing as described on our pricing page.
- Subscriptions are billed monthly in advance through PayPal, and renew automatically until canceled.
- You can cancel your subscription at any time from your PayPal account; cancellation takes effect at the end of the current billing cycle, and we don't provide refunds for partial billing periods unless required by law.
- We may change subscription pricing going forward. If we do, we'll give you notice before the change applies to your next billing cycle.
- Enterprise pricing is negotiated separately and governed by the terms of your specific order or agreement with us, which take precedence over this section where they conflict.
5. Your data
You retain ownership of the network data you upload or create in SpliceMap — topology records, closure and ODF details, connection records, and similar content ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide the Service to you. We don't sell Customer Data or use it to train unrelated products.
You're responsible for the accuracy of the Customer Data you enter. We're not responsible for network outages, misconfigurations, or field errors that result from inaccurate data in the system.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation
- Attempt to gain unauthorized access to other customers' accounts or data
- Interfere with or disrupt the integrity or performance of the Service
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits it
- Resell or sublicense access to the Service without our written agreement
7. Service availability
We aim to keep SpliceMap available and reliable, but we don't guarantee uninterrupted access. The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, except where such disclaimers aren't permitted by law. Scheduled maintenance and unplanned downtime may occur.
8. Limitation of liability
To the maximum extent permitted by law, SpliceMap and its team won't be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose. Nothing in these Terms limits liability where the law doesn't allow it to be limited.
9. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms and don't correct the breach after being notified, or if required by law. On termination, your right to access the Service ends; we'll provide a reasonable window to export your Customer Data before it's deleted, except where legal obligations require earlier deletion.
10. Changes to these terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the Service before the changes take effect. Continued use of the Service after changes take effect means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws of [Georgia / your jurisdiction — confirm with counsel], without regard to conflict-of-law principles. Any disputes will be resolved in the courts of that jurisdiction, unless applicable law requires otherwise.
